INTRODUCTION
This Internet Policy (“Policy”) forms a part of and is incorporated into the Agreement between Member (“You”) and WorCPlaces (“Us”) and describes our obligations with respect to software, email, and/or other information (“Content”) transmitted through or stored on WorCPlaces’ technology platform (the “Systems”) to be used by You. If You have any questions about this Policy, please contact our Community Manager. By using the Services, You are agreeing to abide by and be bound by this Policy.
All users of the Services, including Member and Authorized Users, must abide by the following provisions:
1. CONTENT
WorCPlaces is not required to monitor any Content, and Your use of Content (or any information obtained from or linked to Content) is at Your own risk. You represent, warrant and covenant that You will not use (or allow any of Your users, whether via data networks, cloud, internet, phone, or otherwise, to use) the Services to transmit or store any Content that (i) is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, pornographic, hateful, or racially, ethnically or otherwise objectionable, (ii) is linked to any information or material that is objectionable on any of the foregoing grounds, (iii) You do not have a right to collect, use, store or transmit under any law or under any contractual or fiduciary relationships, or (iv) infringes any patent rights, trademark rights, mask work rights, trade secret rights, copyright rights, and/or any other intellectual or industrial property rights of any kind anywhere in the world of any third party (collectively, “Proprietary Rights”).
2. OTHER MEMBER RESPONSIBILITIES
You represent and warrant that access to and use of the Content as contemplated herein will not violate any U.S. or foreign export laws, privacy laws or any other laws or regulations.
3. ANTI-SPAMMING POLICY; RESTRICTIONS ON EMAIL AND OTHER COMMUNICATIONS
You certify that you will use the services only to send electronic mail (“Email”) to clients or prospects who have directly consented (“Opted-In”) to receive email. Worcplaces will not tolerate the practice of transmitting unsolicited email (“Spamming”). Acts that violate worcplaces' anti-spamming policy as determined in worcplaces' sole discretion, shall result in immediate termination of the services anc this agreement. Neither you nor your users may send email or other communications that includes worcplaces’ logos, trademarks, service marks cic codes, hosted ip addresses, or any variation thereof.
4. WITHHOLDING SERVICES
WorCPlaces may withhold Services while there are any outstanding Fees or You are otherwise in breach of the Agreement. In the event that WorCPlaces withholds services from You pursuant to the foregoing, WorCPlaces shall not be liable for any claim of business interruption or for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of such actions.
5. removal of Content
WorCPlaces shall have the right to remove any Content stored on the Systems which WorCPlaces reasonably determines violates any rights of any party or is otherwise inappropriate content to be stored on the Systems (including, without limitation, pornographic or obscene materials).
6. SUSPENSION OF SERVICES
WorCPlaces shall have the right to immediately suspend any person's access to and use of any Content hosted on the Systems and to notify appropriate government authorities if WorCPlaces reasonably determines that such person has attempted to or has violated the rights of any party or has otherwise engaged in unlawful conduct. WorCPlaces shall also have the right to immediately suspend any Services and/or disconnect from WorCPlaces’ network any Systems that materially degrade or jeopardize the performance and/or stability of WorCPlaces’ network, provided WorCPlaces issues any resultant refund owing pursuant to this Agreement.
7. MEMBER COOPERATION
WorCPlaces will provide You with prompt notice of any actions taken pursuant to this Policy. You shall cooperate with WorCPlaces in good faith to resolve any issues relating to a person's use of the Content. You will abide by any reasonable written request made by WorCPlaces to engage in any of the actions set forth in this section.
8. FORCE MAJEURE
WorCPlaces is not responsible for any delays, errors, interruptions or disruptions in the Services caused by or resulting from any act, omission or condition beyond WorCPlaces’ reasonable control, whether or not foreseeable or identified.
